Welcome to YK Source, also referred to as “YK,” “we,” “us,” or “our.”

These Terms of Service explain the rules for using yksource.com, contacting YK, submitting launch inquiries, booking services, receiving proposals, and working with us. By using our website, submitting a form, booking a call, requesting services, or working with YK, you agree to these Terms. If you do not agree, please do not use the website or services.

1. What YK Does

YK helps brands, creators, founders, and agencies explore and launch into Asia through market planning, product sourcing support, creator partnerships, retail pathways, local partner discovery, launch coordination, and Bangkok based ground support.

YK is not a factory, supplier, manufacturer, retailer, distributor, customs broker, freight forwarder, law firm, accounting firm, talent agency, employment agency, investment advisor, or licensed real estate broker. Unless stated in a signed agreement, YK does not guarantee manufacturing results, creator performance, retail placement, distributor acceptance, product sales, market entry approval, legal compliance, import clearance, investment returns, or launch revenue.

2. Who May Use YK

You may use the website and request services only if you can legally enter into a binding agreement. If you use YK on behalf of a company, brand, agency, creator business, or other organization, you confirm that you have authority to accept these Terms on its behalf. You agree that the information you provide to YK is accurate, current, and not misleading.

3. Website Use

You may use yksource.com for lawful business purposes only. You agree not to use the website for fraud, spam, scraping, or illegal activity; interfere with the website or its security; attempt to access systems without permission; copy, resell, or misuse YK content; submit false or unlawful material; or use YK to contact creators, suppliers, partners, or local operators for illegal or deceptive activity. We may restrict access if we believe these Terms are being violated.

4. Inquiries and Launch Briefs

Submitting a form, launch brief, email, or project inquiry does not create a client relationship, service commitment, exclusivity, confidentiality obligation, or obligation for YK to accept the work. YK may decline any inquiry for any reason. Please do not send confidential, sensitive, proprietary, or trade secret information unless we have signed a separate agreement that covers confidentiality.

5. Proposals and Service Agreements

Some YK services may require a separate proposal, statement of work, order form, invoice, or written agreement. If a separate written agreement applies, that agreement will control if it conflicts with these Terms. YK is not required to begin work until any required agreement is accepted and any required payment is received.

6. Services and Deliverables

Unless agreed otherwise in writing, YK deliverables are for your internal business use only. You may not resell, publish, copy, or distribute YK deliverables as your own product or use them to create a competing service.

7. No Guaranteed Results

YK helps create a launch path. We do not control every outcome. Asia market entry, product sourcing, creator campaigns, retail partnerships, manufacturing, distribution, and launch execution involve many variables outside YK’s control. YK does not guarantee sales, revenue, market acceptance, creator performance, retail placement, supplier approval, factory capacity, product quality from third parties, import or export approval, timelines controlled by third parties, or pricing from suppliers or creators.

8. Third Party Partners, Creators, Suppliers, and Vendors

Unless stated in writing, third parties are independent from YK. YK is not responsible for third party acts, omissions, pricing, quality, timelines, content, manufacturing defects, product claims, contract performance, legal compliance, or disputes. You are responsible for reviewing and approving any third party before entering into a business relationship. Any contract between you and a third party is between you and that third party.

9. Creator and Influencer Work

YK does not guarantee that any creator will respond, accept a campaign, deliver content, meet performance targets, or produce sales. You are responsible for ensuring creator campaigns comply with applicable advertising, disclosure, platform, intellectual property, usage rights, and local market rules.

10. Product Sourcing and Product Drops

YK does not manufacture products unless a separate agreement says otherwise. You are responsible for reviewing, testing, approving, and legally clearing any product before production, sale, import, export, marketing, or distribution. This includes product specifications, safety, labeling, claims, testing, certifications, customs and import rules, consumer protection laws, intellectual property clearance, quality standards, insurance, and regulatory compliance.

11. Market Information and Local Guidance

Market information is based on available data, local input, public information, experience, and third party sources. It can change quickly, may not be complete, and should not be treated as legal, tax, financial, investment, import, export, or regulatory advice. You are responsible for making final business decisions.

12. Client Responsibilities

You agree to provide accurate and complete information, respond in a timely manner, review deliverables carefully, handle your own legal and compliance review, pay fees on time, avoid unlawful or abusive use of YK contacts, and respect confidentiality and local market norms. Delays in your responses, approvals, payments, or materials may delay the work.

13. Fees and Payment

Fees will be listed in a proposal, invoice, order form, or written agreement. Unless stated otherwise, fees are due in U.S. dollars, payments are due by the date listed, work may pause if payment is late, third party costs are your responsibility, and fees paid to YK are not refundable unless stated in writing.

14. Subscriptions, Retainers, and Ongoing Services

Some services, such as YK Asia Office, may be offered as monthly retainers. Unless a proposal or agreement says otherwise, monthly retainers renew month to month and may be canceled by either party with 30 days written notice to legal@yksource.com.

15. Cancellations and Rescheduling

Unless stated otherwise in writing, fees are not refundable once work has started. Calls may be rescheduled with reasonable notice. If a project is paused by the client for more than 30 days, YK may close the project or require a restart fee. Third party costs are non-refundable unless the third party agrees otherwise.

16. Confidentiality

If either party shares non-public business information that is clearly confidential, the receiving party will use reasonable care to protect it. For highly sensitive work, YK may require a separate NDA or written agreement.

17. Intellectual Property

YK owns its website, brand, content, frameworks, methods, templates, and service materials. You own the brand materials and business information you provide. You may use YK deliverables for internal business planning and launch execution but may not resell, publish, or use them to compete with YK.

18. Your Content and Materials

You give YK permission to use the information and materials you provide as needed to evaluate your inquiry, provide services, and support the project. You confirm that you have the rights needed to share those materials with YK.

19. Publicity and Case Studies

YK may not publicly use your brand name, logo, project details, or case study without your permission, unless the information is already public.

20. Compliance and Lawful Use

You are responsible for ensuring your business, products, campaigns, imports, exports, and market launch comply with applicable laws. You agree not to use YK services for illegal, misleading, unsafe, fraudulent, exploitative, sanctioned, or harmful activity.

21. Anti-Bribery, Sanctions, and Trade Compliance

You agree not to use YK to offer, request, facilitate, or hide bribes, kickbacks, improper payments, sanctions violations, or illegal trade activity. YK may refuse or stop work if we believe a project creates legal, ethical, or compliance risk.

22. Disclaimers

The website and services are provided on an “as is” and “as available” basis. To the fullest extent allowed by law, YK disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and results.

23. Limitation of Liability

To the fullest extent allowed by law, YK will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. YK’s total liability for any claim will not exceed the amount you paid to YK for the specific service during the three months before the claim arose.

24. Indemnification

You agree to defend, indemnify, and hold harmless YK from claims arising from your use of the website or services, your products or business activity, your breach of these Terms, your violation of law or third party rights, materials you provide, and your dealings with third parties.

25. Dispute Resolution

Before filing a claim, you agree to contact legal@yksource.com and try to resolve the dispute informally. These Terms are governed by the laws of the State of Wyoming. Disputes will be brought in the state or federal courts located in Laramie County, Wyoming.

26. Termination

YK may suspend or terminate access if you violate these Terms, do not pay fees, misuse deliverables, or create legal or compliance risk. Termination does not remove payment obligations for work already performed.

27. Changes to These Terms

YK may update these Terms from time to time. Your continued use of the website or services after changes are posted means you accept the updated Terms.
